VODACOM TANZANIA PRODUCTS AND SERVICE SUBSCRIBER TERMS & CONDITIONS

  1. Nature of Terms and Conditions & Applicability

    1.1 These terms and conditions are issued by Vodacom Tanzania PLC (hereinafter “Vodacom” or “we” or “us” “ourselves” or “our”) to Vodacom Subscriber and or Customer (hereinafter “you” or “your” or “user” “yourself”).

1.2 These terms and conditions shall apply to all Vodacom Subscribers and or Customers for Services provided by Vodacom which include but not limited to Services of voice, data, internet, value added services and mobile money services (M-PESA).

  1. Definition
    2.1 “Account” means records of your payments made for Vodacom services and outstanding Charges, plus your personal details.

2.2 “Bar” a block placed by us on some or all of the Services used except for emergency calls services. It may include restricting the Service connection whereby you might automatically be re-directed into to contact our Call Center when you attempt to make an outgoing call from your Device

2.3 “Charges” means all charges for Services, as published by Vodacom from time to time on the Vodacom’s website including all applicable taxes

2.4 “Connection” means the process of giving you access to a Service.

2.5 “Content” means information, communications, images and sounds, software or any other material contained in or available through the Services or from company website, blogs or social media.

2.6 “Customer Communication” means information about our Services made available to you by Vodacom through your Device via SMS or outbound calls or provided electronically through on the Vodacom’s website and social media or distributed through the sale of Vodacom products or through media.. Vodacom’s social media shall include Instagram, Facebook and Twitter

2.7 “Conditions of Use” means these terms and conditions as may be varied by us from time to time in accordance with these terms;

2.8 ‘Disconnection’ means denying you access to the Services

2.9 “Device” means a mobile telephone used by you,

2.10 “Network” means the electronic communications system by which we makes Services available in the United Republic of Tanzania.

2.11 “Vodacom Tanzania PLC Additional Services” means optional Services (including but not limited to Roaming, International Calling, and Content provided by Vodacom Tanzania PLC) which may cost you extra whether they are supplied in conjunction with Service Plans or outside Service Plans.

2.12 “Price Guide” a list of our current Charges which is updated from time to time and is available from us upon request.

2.13 “Products” means mobile devices, accessories, scratch vouchers and any other item sold by Vodacom

2.14 “Registration” means our acceptance of your application for Services and our record of your data and any User data prior to Connection. ‘Register’ has a corresponding meaning. 2.15 “Roaming” means An optional Service which allows you to use your device on other operators’ networks, usually in foreign countries.

2.16 “Services” means Network and other Services, including Vodacom Tanzania PLC Additional Services, provided or procured by us for you to use.

2.17 “Service Plan” means a number of products which shall include but not be limited to bundles of airtime, loan (nipige tafu), internet bundle, voice, text/SMS, and/or Vodacom Tanzania PLC Additional Services/Offers and/or additional discounts and/or any Value Added Services offered by Vodacom Tanzania PLC for an agreed monthly or other periodic payment either within GSM platform or in connection/integration with other third party systems.

2.18 “GSM” means The Global System for Mobile communications (GSM)

2.19 “SIM” means Subscriber Identity Module, a card or other device which shall for the avoidance of doubt include a USIM which contains your personal telephone number and which is programmed to allow you to access the Network.
2.20 “MSISDN” means is a Mobile Station International Subscriber Directory Number; means a telephone number uniquely identifying in a mobile network, this number is assigned to you upon subscription.

2.21 “Stolen Lock” means the temporary disconnection of Services. ‘Suspend/Admin Lock’ has a corresponding meaning.

2.22 “User” means you, or another person named by you or on your behalf, who is authorized to incur Charges to your Account or responsible to pay your bills.

2.23 “PIN” means your personal identification number being the password/secret code you choose to access and operate your device

2.24 “Reasons beyond control” means and shall include but not limited to fire, explosion, power blackout, earthquake, flood, the elements, labour strike, embargo, acts of civil or military authority, war, terrorism, acts of God, acts of the public enemy and acts of regulatory or governmental agency.

3.VODACOM TANZANIA PRODUCTS AND SERVICE Disclaimer

3.1 Whilst every effort has been made by Vodacom, its affiliated companies, employees, suppliers, agents and or vendors to ensure Services is provided appropriately, Vodacom, its affiliated companies, employees, suppliers, agents and or vendors do not guarantee the availability of Services at all times or that Services will be uninterrupted or error free or accurate or secure or complete or meet your requirement. You will be notified

when Vodacom will have a scheduled down time or planned maintenance except for emergency cases where the system is unavailable due reasons beyond our control.

3.2 All goods, accessories and services are subject to the warranty provided by the manufacturer of goods or services supplied by Vodacom. You shall conform to the specifications of the manufacturer and should you find any apparent fault with a good, accessories or service you should not attempt to repair the fault. Such fault shall be reported immediately as a warranty claim within a warranty period to Vodacom to Vodacom’s authorized service Centre. We will not generally entertain requests for exchanges, returns and/or refunds for use of the Services after the expiry of the warranty period.

4. Indemnification

4.1 The Parties hereby indemnify and hold each other harmless against any losses, expenses, costs or damages of whatsoever nature incurred as a result of any claim against a party hereto by any third person whomsoever arising from a breach of this Agreement and/or any negligent act or omission by the other party.

4.2 The Parties hereto shall not under any circumstances whatsoever be liable to each other for any indirect, consequential or special damages of whatsoever nature and howsoever arising, that either Party may suffer as a result of a breach of this Agreement by the other Party.

4.3 Each Party shall be liable to the other Party for any direct damages arising out of or relating to its performance or failure to perform under this Agreement.

4.4 Roaming Services outside Tanzania relies on the telecommunications systems of foreign networks, over which we have no control. We cannot therefore offer any guarantees about Roaming services overseas.

4.5 If you use Services from a country outside Tanzania your use of the Services may be subject to different laws and regulations that apply in that other country. We are not liable for your failure to comply with those laws or regulations.

5. VODACOM TANZANIA PRODUCTS AND SERVICE  Use of Services

5.1 You may only use Services for lawful purposes and you warrant that you shall not:

5.1.1 use Services to receive or transmit material which is in violation of any law or regulation, which is obscene, threatening, racist, menacing, offensive, defamatory, in breach of confidence, in breach of any intellectual property rights, or otherwise objectionable or unlawful;

5.1.2 use Services to carry out or facilitate any illegal act of corruption, bribery, money laundry or any other unlawful act; 5.2 You shall have the right, at your discretion, to rescind these terms within the period of ten days after registering for Services provided by Vodacom
5.3 We accept no liability for the, loss, late receipt or non-readability of any download, transmission, or other communications. The Content, which is obtained from a large range of sources, is supplied to you on an ‘as is’ basis or depend on device capacity and we do not warrant that the Content is of satisfactory quality, fit for a particular purpose, suitable, reliable, accurate, complete, secure or is free from error and virus.

5.4 Access to the third party services and the internet: We have no control over the value or quality of goods, services or content offered by third parties on or through the Services. As a result we cannot be responsible or liable in any way for and do not endorse, any of these goods, services or content.

5.5 The Services may be used by you to access websites and networks worldwide. We accept no responsibility for the Content or services in respect of these and you agree to conform with the instructions issued by those websites and networks relating to your use of those services.

5.6 If you use your device to access the internet or third party services it may not be a secure environment unwanted programs or material or viruses may be downloaded to your device with or without your knowledge which may give unauthorized access to, or damage your device and the information stored on it. We are not liable or responsible in any way for such unauthorized access, damage to or loss of information on your device.

5.7 Persons under the age of 18 years are restricted from using Vodacom Services

5.8 By accepting these terms and conditions you agree that Vodacom shall be sending you text messages in relation to customer information and advertisement of its products and services from time to time. If you do not wish to receive these messages you are required to immediately contact our call centre or visit any Vodacom shop for assistance in order to be removed from such services
6. VODACOM TANZANIA PRODUCTS AND SERVICE Privacy Statement

6.1 Vodacom and all its associated companies are committed to respecting the privacy of your personal data. To demonstrate our commitment, Vodacom has created this Security and Privacy Statement in order to communicate its intent to provide effective processes for the appropriate handling of such private information and to comply with applicable legislation that governs the authentication, protection and disclosure of personal information.

6.2 Vodacom have implemented technology, policies and processes aimed at protecting the confidentiality, integrity and availability of your personal information. We will update and refine these measures on an ongoing basis. Vodacom assumes no responsibility or liability of any nature whatsoever for the interception or loss of personal information beyond our control.

6.3 Vodacom does not distribute any of your personal information to third parties unless it’s requested by you or it’s legally required to do so by a statute. For avoidance of doubt and clarity, Vodacom may be obligated to disclose personal information to meet any legal or regulatory requirements of applicable laws.

6.4 Vodacom reserves the right to amend or modify this Security and Privacy statement at any time in response to new privacy legislation. Vodacom shall only notify you when amendments and modifications are made in response to new privacy legislation

6.5 Monitoring or recording of your communications such as calls or SMS’s may take place as required by law or for business purposes to the extent permitted by law in order. However, in these situations, we will not disclose information that could be used to personally identify you.

7. Intellectual Property Rights

7.1 You acknowledge that we own the intellectual property rights on Services and that the unauthorized use thereof is expressly prohibited.

8. Password

8.1 For Services that requires password such as M-PESA you undertake to keep your password secure and warrant that no other person shall use Services utilizing your password, and you acknowledge further that you are responsible for ensuring that no unauthorized access to Services is obtained using your password, and that you will be liable for all such activities conducted pursuant to such use, whether authorized or not.

8.2 Account Usage; You should not allow your SIM card to be used by anyone except you and you will be responsible for any action done via your SIM card by that third party

9. Termination and Variation

9.1 We reserve the right with a prior notice and reason to alter, restrict and/or terminate Services to you in particular, or to the public in general, or to revise these terms and conditions, and/or the prices at which Services are offered, at any time. Such changes will be deemed to have been accepted by you if you continue using the Services. The obligation therefore is on you to review these terms and conditions at regular intervals.

9.2 We reserve the right to seek all remedies available at law and in equity for violations of these Terms and Conditions, including but not limited to the right to block access from a particular internet address site and any other Vodacom web sites, features, and networks.

10. Charges

10.1 The charges for services provided in these terms and conditions are as per retail charges provided for in the Vodacom website. The charges may be varied from time to time upon notice to you vide our website, or newspapers or SMS or other public means of communication.

10.2 All charges and tariffs on the Services are subject to applicable taxes.

10.3 Roaming coverage partnership; where Vodacom is providing roaming services with a foreign entity, the charges shall be subject to foreign currency fluctuations or international/roaming tariff set, roaming could be a bit expensive compare to home land services hence continue to use the service overseas means you have agreed with roaming tariffs.
10.4 We may suspend, bar, restrict or terminate the provision of any services or product subscribe or blacklist your device or both in whole or in part and/or close your Account with or without informing you and without any liability whatsoever although, we will, where possible, try to inform you that such action is or may be taken) under the following circumstances:-
10.4.1 if we are aware or suspect or have reason to believe that your device or the MSIN/PIN number used in in an

unauthorised, unlawful, improper or fraudulent manner or for criminal activities or has been so used previously;
10.4.2 if you do not comply with any of the conditions relating to the GSM Services including these Conditions of Use;
10.4.3 if you notify us that your device or SIM Card has been lost or stolen or any other reasons that might affect our networks includeing those reasons from governmental authorities or other Legal entity(ies)
11. VODACOM TANZANIA PRODUCTS AND SERVICE General

11.1 These terms and conditions will be governed by and construed in accordance with the laws of Tanzania

11.2 Any complaint or dispute arising out of or in connection with any Services or these Terms and Conditions shall be referred to Vodacom within thirty days from the occurrence of such complaint or dispute, failing to refer the complaint or dispute within these days shall give Vodacom an option of rejecting the complaint or the dispute.

11.3 In the event of dissatisfaction with the outcome as per clause 11.2 above, a dissatisfied party may within a period of thirty days refer the matter to the Complaint Committee under Tanzania Regulatory Communication Authority.

11.4 These terms and conditions are severable, in that if any provision is determined to be illegal or unenforceable by any court of competent jurisdiction, then such provision shall be deemed to have been deleted without affecting the remaining provisions of the terms and conditions.
11.5 Our failure to exercise any particular rights or provision of these terms and conditions shall not constitute a waiver of such right or provision, unless acknowledged and agreed to by us in writing.
11.6 These terms and conditions, as varied by us from time to time constitute the sole agreement between yourself and ourselves. You will be notified of any change of services before implementation through the Vodacom website, SMS or any other public means of communication. Where a specific agreement has been signed between yourself and ourselves which contain similar terms and conditions the provision of such specific terms and conditions shall take precedent in the event of conflict or inconsistence.
